The clause that erased a $22,000 liability

A vendor told Enoch Allotey's client they owed $22,000 on a contract the client had never agreed to. The equipment had already shipped. The vendor wanted the full remainder of the term.

Enoch is an IP and corporate attorney at Cardán Law. He had the vendor agreements. What he did not have was time.

He had his answer the same day, and the contract was rescinded with zero penalties.

The claim

Enoch's client had signed multiple vendor agreements over the years. One of those vendors moved them into a renewal the client never agreed to, sent the equipment anyway, and then claimed the client owed the full remainder of the contract. A $22,000 liability.

Two things made it hard. The answer was buried across a stack of agreements nobody had read side by side in years. And the vendor was not waiting.

What he did

He loaded every vendor agreement into Irys and used Amplify to sharpen his prompts.

Irys came back with two findings. The vendor's claimed contract position was not supported by the documents. And the governing state law allowed those provisions to be invalidated entirely.

"I put in the prompts, amplified them, loaded the documents, and it was like: here's what they're implying, here's what the document actually says, and here's what the law says. The whole thing was rescinded within moments of receiving our notice."

With the analysis done, Enoch sent the vendor a response that same day.

The outcome

The vendor backed down. The contract was rescinded. No penalties were assigned to the client.

Why this one worked

Nothing here turned on a novel legal theory. It turned on reading every agreement against the others, against what the vendor was implying, and against the governing law, fast enough to matter.

That is the shape of a great deal of legal work. The answer is already sitting in the documents. The cost is the hours it takes to find it, against a deadline that does not move.
